Looks like Roy Truitt was named in the agreement

Not named per se, rather he signed it, which is interesting. You don't often see board members signing things on behalf of the company - unless maybe they are the owner?

One possible, if not probable, scenario:

Williams, an entrepreneur, goes to Truitt an angel investor, and says I have this wonderful idea how to get in on the block chain craze. Truitt throws some money behind it and it goes nowhere. Now Truitt has this turd on his book and is trying to figure out how to salvage something from it. He knows nobody will give him any cash for it, so he starts shopping around for some company to suck it up in a stock deal. How fortunate to find a company right down the road from him that prints shares like they are business cards.
