wrong. The preferred shares are convertible into a fixed number of shares of common and that "value" fluctuates with the value of the common. By the way, that fixed number is also adjustable under certain circumstances but that is beyond the scope here.

as for point 2, really???? where is the data on that ??? total nonsense
