A Preferred Stock, nor the number of shares of Class A Stock issuable upon conversion of the Series A Preferred Stock, the voting power of the Series A Preferred Stock will significantly outweigh the total voting power of the Class A Stock outstanding after the Reverse Stock Split, which will enable the holders of the Series A Preferred Stock to effect certain actions even if the Class A Stock does not agree to same.
