It is NOT a 2 part transaction. That is false. That would require the monitor to intentionally conceal information from the court, and that's just ridiculous to suggest.
The only transaction was the liquidation of the assets. We can call the sale of the inventory, tools, and parts "transactions" if we wish. But there's nobody even interested in purchasing an empty, debt ridden shell for good reason: it would be the dumbest business move any company or individual could make.
