My understanding is that S1 is needed. Look at the first parenthesis (in red and bold):

The execution and delivery of this Agreement by the Company, and the consummation by the Company of the transactions contemplated hereby has been duly authorized by the Company’s board of directors and (other than (i) the filing with the SEC of (A) one or more Registration Statements and (B) the 8-K Filing (as defined below), (E) any other filings as may be required by any state securities agencies (collectively, the “ Required Approvals ”) no further filing, consent or authorization is required by the Company, its Subsidiaries, their respective boards of directors or their stockholders or other governing body.

I marked in red all that should be inside the parentheses. I think there is a closing parenthesis missing. The S-1 is the filing that corresponds to the registration statement mentioned.
