Can you imagine the GAAP auditing confirmations that the LLC will have to perform on years old acquired S Corp assets, years old LLC assets and private partnership assets that are leveraged, multi party leveraged and in trust for anonymous parties!! Forget about the S Corp principals unpaid loans and disbursements that turn instantly into taxable income due immediately upon becoming C Corp assets.

It’s fun to watch isn’t it.

I think everyone understands the LLC has the assets, but that will change. They continue to state the below very clearly and often with every LOI & Acquisition PR. Unless it is your belief that this is a lie?
