The issue with that is that no broker in the world would ever hold a short position for the time that it takes for the restrictive legend to come off.
The reason death spirals happen is convertible debt and toxic notes... when the funder can call on demand and say I want free trading shares issued by DWAC at 50% to the bid of now or yesterdays close or whatever their contract says. Then they can sell short, give their brokers a promise to deliver and it's all done lickity split. So then they can use those shares to drive it down more, then convert more and over and over over and over until the pps is in the dirt. That is the famous OTC death spiral.
That is not the case here.
