after mulling initial offer the B OM data did not look so good. Also BTD denied.. so they back out. No surprise.

The B UP data are interesting and B IBD a possible blockbuster .

Also IP; nowhere to run, desperate for any deal, any deal at all. You can negotiate exactly the terms you want. So someone does an IBD deal, and it makes sense.
