Sure they can. The accounting technique is called the magic eraser. GEGI can be abandoned but selling the majority of shares doesn't eradicate the debt. Lattuca could still pursue GEGI as a non public entity. Lattuca would still have all of his options and could continue to pursue collection in the Florida matter or he could place GEGI in involuntary bankruptcy.
