What he was saying is an entity that is set up buys the puts and calls from the parent company. The capital cost generated by the parent company charges a tax to the entity that purchased the puts and calls. That is then sold as a tax credit to investors as tax’s are raised by selling a tax credit on the capital surplus is sold to the entity in question.
