Hi MB,

I’m struggling to understand why these warrants are being deregistered. The original S-1 filing (link below) covers registration of three groups of warrants:

1. 2,962,500 Private Placement Warrants @ .79CA exp 7/26/2021
2. 192,562 Warrants issued to Mackie @ .79CA exp 7/26/2021
3. 260,000 Warrants issued to Lind @.73CA exp 8/15/2020

The Mackie Warrants were issued as compensation for services rendered administering the private placement.

Why would Niocorp deregister any unpurchased Warrants that do not expire until July 2021 or August 2020?

It seems highly unlikely that all 3,415,545 warrants were purchased or terminated by their various holders. Either I don’t understand the intent of the latest filing or maybe there is an amendment to the original S-1 that I haven’t found.

Any enlightenment by others on the board would be appreciated.
