The SEC DAMN WELL "reviews" and has a say when GIFX files their FORM 10-12g to "BECOME A SEC REGISTRANT" again...which is EXACTLY what they're in process of doing....
Filing a FORM 10-12g is a MASSIVE UNDERTAKING...approx a 100 PAGE "SEC" filing with TWO YEARS AUDITED FINANCIALS IN IT....including the financials for what "was" PAST TENSE private Gifa holdings and what is "now" Gifa Inc aka GIFX.....
LETS STICK TO ACTUAL FACTS HERE....GIFX has stated NUMEROUS times they're "in process of SEC filing" and thus will be "SEC CURRENT" which = only two options:
1) SEC FORM 10-12g
2) SEC SUPER 8-K
AND THOSE ARE THE FACTS.....GIFX is "SEC FILING" and they've made it crystal clear and EVERYONE KNOWS IT.....LMAO.....
ANY statement(s) to the contrary are more unsubstantiated disinformation and pure stock bullshit w/o a SHRED of verifiable due diligence or actual facts to back them up....NONE....BS.....
Here's an example of a recently filed SEC FORM 10-12g by a company in the EXACT SAME SITUATION AS GIFX...reverse merger...former 15-12g deregistered and needed to "come current" ALL AT THE SAME TIME...
THEE SAME FILING GIFX IS PRODUCING RIGHT NOW....and THAT was for a "two man" micro company...GIFX IS MAGNITUDES LARGER....enormous compared to that nano-nano-cap piddly operation....thus a BIGGER and LENGTHY REVIEW BY THE SEC...PERIOD..
It's a MASSIVE SEC FILING...one of the most daunting a company will ever file other than an initial S-1 registration statement. This company "canapowder" was a MICRO COMPANY of a few dudes and almost NOTHING in terms of assets or operations...UNLIKE GIFX whose building alone puts um above 90% of the OTC vapor-ware in existence...and it still took this piddly micro company approx 100 pages of a SEC FORM 10 to satisfy the SEC requirements....
GIFX is SEC FILING...those are the facts...and the filings ARE UNDER SEC REVIEW as the SEC reviews ANY and ALL SEC FORM 10 filings..especially in regarding to a "foreign" company....PERIOD....
