Well I thought they were diluting to pay off the debts. OS would turn out to be a wash but debts would be retired.

I believe it has to do with WHO owned the retired shares and why they were to no longer own them. You can't get rid of shares owned by one entity by handing them over to another for money needed. It just has to go through the motions of being retired and then you issue new shares to your financier.
