Under Mr. Alessi’s control, Mr. Alessi sought to effect a merger transaction (the “Merger”) under which
the Company would be merged into Data443 Risk Mitigation, Inc. (“Data443”). Data443 was formed as
a North Carolina corporation on 12 July 2017 under the name LandStar, Inc. Mr. Alessi was the sole
shareholder of the North Carolina corporation. The name of the North Carolina corporation was changed
to Data443 on 18 December 2017.
In or around November 2017 our current sole director and officer, Jason Remillard, acquired the Series
A shares from Mr. Alessi, resulting in another change in control for the Company. Mr. Remillard was
appointed as the sole director and sole officer of the Company. Initially, Mr. Remillard sought to
recognize the Merger initiated by Mr. Alessi and respect the results of the Merger. The Company relied
upon documents previously prepared and proceeded as if the Merger had been effected.
