Simple math says thats not how he would use a RS... if he chooses to do a RS then he will pull the S-1 and do it... but since the S-1 has a maximum price of 0025 and at todays price of .0008 his RS would be 1 for 3 to get the price to 0024. You can't do an RS above the max price because you can't sell shares on the open market below the highest price or your intentionally sabotaging your own stock. And thats called manipulation. So if he does not pull the S-1 then he wont RS the stock.

He could do a private placement below the ASK but he could not do a common shares S-1 on the open market if he takes the PPS above 0025
