It doesn't violate any law, SEC or otherwise. Commons' panties are in a bunch since they're not allowed to Vote while in Conservatorship while Preferreds still have Contract Rights which allow them to Vote on Conversion terms and other factors.

Thankfully, a conclusion is on the horizon and everyone will be able to say who was right/wrong and the "I told you so's" can commence.
