If you read Delaware law he can merge his LLC with the other LLCs of Sears and its subsidiaries. You are purposely leaving that out. I know you know because its already been addressed multiple times. And 8k clearly states they will make sears and its subsidiaries LLCs at the instruction of the buyer who is Lampert.
