Yes I agree on your comment re taking all liabilities if stock purchase, hence why common equity get something out of bankruptcy exit is the more likely of the 2 scenarios should the opinion lead to tax attributes staying with the seller.
Given the language in the APA, I believe the closing will drag out until opinion is received. This is why they extended the exclusivity period.
