I think the footnote is in the context of when the priority rule is applied and creditors step into the shoes of the shareholders. Which might be the strategy of the unsecured creditors committee...they know Lampert/ESL will convert their debt into commons to control the NOLs as they exit chapter 11. This makes a lot of sense now!
