SIAF could argue that a contract for ODRAS (even if it is huge) is in the ordinary course of business.
Suppose they sign a contract in Shenwan with cooperative growers and disclose it. Then they can never get a better deal in Yangjiang where they are also negotiating. Because they already "showed their hand" in Shenwan.
They could even be negotiating with a financing partner for CA. Which makes it even more secretive.
