There is the (purposeful?) flaw in all your reasoning. There will be no bankrupt entity anywhere to be seen at a certain point. Sears filed chapter 11. One outcome of chapter 11 is to be bought out of bankruptcy. In most chapter 11s that does not happen. However in the case of Sears that is exactly what is happening. But you (purposefully?) ignore this fact.

OK - then I can see a name change from “ Sears
Holdings Corp “ to “ Sears ........??? “ Any name
change would likely still have the “ Sears “ in it to
maintain the brand and name of the 425 stores.
