No - it is not from the APA.

It is from the
“ Order Approving the Asset Purchase Agreement “ -
which was filed with the APA.

Attorneys write up Orders for Judges to sign.
This info is from the “ Order Approving the APA “ -
which is for the Judge to sign if he approves
the Sale.

If ESL is buying substantially all of the Assets
of Sears Holdings, what Assets will be left in
the Estate for a POR?

If there is nothing left in the Estate then what
is there to vote on? Will a POR state
“ pursuant to the ASA “?


It seems to me that a POR would not be
required if the APA is approved. I read
somewhere that a POR will not impact
or alter the Sale if approved.
