Can Helios in fact do a dividend-of-a-company it-does-not-fully-own?

Helios has right to first force a merge of MoviePass into Helios. Why not do a merge first, in order to then fully own MoviePass? To fully own MoviePass first, to then without issue, issue a separate company as a dividend.

What is preventing a merge of MoviePass into Helios?
