In an IPO, he doesn't start "in the hole" with respect to ownership, especially not by 1.2B shares of an A/S of 2B and compared to his own conversion that would amount to 24M shares (but he won't do that, since they outvote everyone else). Same for the scenario of increasing the A/S, the 1.2B already "out there" is of no value to the company since previous ownership spent all the funds raised. And, no, he doesn't "need" existing shareholders, and it isn't his fault people were left holding worthless bags from prior business endeavors.
