The first part of the offer was that you needed to buy shares for .012. They were cheaper at the time on the open market. That was what needed to be paid for upfront. They are subject to any R/S yes. The second part is the warrant to buy in the future at .018 and .024. This gives you the option to buy, you're not obligated. And the company can rescind the whole thing at will and keep your cash as long as they want to more or less until they feel like giving it back.
