Thanks Red Lion, that is huge news! They are growing at a rapid pace, indeed! They bought the shell NHPI to get to NASDAQ quickly! Expanding to Ireland!!!! These big boys are moving!! Glad to be sitting my butt right here! Unloading a few stocks Im holding to go all out here, Monday !! Adding as many shares as possible! jmo xi

This is pretty big and also basically confirms Blackhawk doing a private placement to secure a nasdaq APO. It’s also the only reason I can think of why we are waiting on SEC approval since this is currently a non reporting company. $50 million dollar private placement into this reverse merger will have this stock moonshot and make our recent rise look pathetic in comparison.

Woodbrook Group is also in discussions on a public offering the NASDAQ. "We were approached by a hedge fund, Blackhawk Partners. They are interested in taking a shareholder in the group and listing on the NASDAQ. We're looking at it," Doherty said. "We would look to raise somewhere around $50 million."




This also sets up a timeline of events:

The article was published two weeks after the Doherty podcast and it's the first time where he specifically mentions Blackhawk by name. We can assume from all of this that they've been working on this since early August, if not sooner. December makes it 5 months.

This is 100% an APO (alternative public offering). Shoutout to tbattaglia for calling this two weeks ago. It also explains why there has been no news or PR released and why we are waiting for the SEC. WHICH has been confirmed by Doherty.

Key Points Regarding And APO:

In true fashion of a typical reverse merger and unlike its sister public offering, the IPO, an APO can occur quite rapidly once the shell has been created and the financing obtained. When due diligence on both sides has been performed an 8K will be filed with the SEC for disclosure.

If the funding is ready, an APO can close within a month or two. Similar to an IPO, an APO has the same disclosure and reporting requirements and roughly four months after the official completion of the deal, the company should receive clear the SEC for effective trading. This is typically when the company obtains a listing with the stock exchange which can take a few weeks. This is when investor relations really gets kicked-off and stock promotion typically begins.

They also offer an interesting alternative to other investments from traditional sources. In a typical APO, the new public vehicle will receive investment money from accredited and institutional sources.

The benefit for investors is that an existing market for the stock is created prior to going public, the shares are more liquid if traded on an exchange and the company is well-positioned to raise even more capital through the market.

An APO also does not require massive public disclosures until after the deal closes. This helps protect suppliers, employees and customers from rocking the boat before the deal is consummated. It also helps because the private company can feel out investors sentiment with an APO prior to even making the announcement of going public.

-yeah wow well i guess in a ‘4.0’ dd i need to mention about, or Wayne in his next DD or anyone for that matter — about this YUGE lol Brexit happening early next year...and how this could GREATLY (sorry to be pumpy but it is big deal) effect in a good way companies like The Woodbrook Group who are in Cyprus so its in the EU, so Brexit money getting out of Britain could consider sticking with a British founded company and employees and guys like Michael Doherty.....well a lot of money could go to NHPI/Woodbrook.

This timing ...for this stock...for 2019 is rather amazing.
