They'd have to commit actual securities fraud, and it'd have to be serious enough for them to attract the SEC's attention in what is, after all, a sea of fraud.

They've managed to survive for so long because they're fairly careful. They don't exactly lie; they exaggerate. In filings, their sins are sins of omission, not commission.

Like many con artists, they may partly believe their own stories. Jensen really did think ECNC's device was gonna be the Next Big Thing. And then came the dot.com crash. And Tom Hayes went to prison and Jensen took over.

They're also not too greedy. They're content with a few million; they don't try for tens of millions for themselves. And usually they don't leave their shareholders for dead. Most of the time they come up with some new scheme that will temporarily convince at least some of them. Over the years, of course, people who follow them do lose bigtime. But why do they continue to follow?
