I recall the SEC commented about the flawed Form 10. The 10-12g will go effective in 60 days, comments or not. What the SEC reminded to Eric is that it is so flawed, that it will go effective and they will proceed to revoke the registration forthwith. That is how the SEC handles an effective '34 Exchange Act registrant. And what happens to a revoked registrant?....
