Right.

Straight dilution or diluting in the pinks is almost always issuing new shares into the ask thru a diluting MM such as VFIN or VNDM just because that is the only way to keep the company going...OR officers fleecing SHs VIA a Scam.

The S-1 is a totally different scenario where inst. funds paying for shares and holding well above SP.
