Businesses with $1.5B sitting around don't exactly have the need for capital that would make them want to go public, especially by merging into a very dirty shell when they could afford the few $100k's to do an IPO. Most businesses don't flitter away $60M for nothing, either, if there are way cheaper ways to accomplish the same end.
