WHEREAS, the Pledgee and Pledgor have entered into a Pledge of Stock Agreement dated October 13, 2016 (the “Stock Pledge Agreement”) whereby the Pledgor is pledging 1,000,000 shares of Series A Preferred Stock (the “Shares”) of the Company that it owns to the Pledgee to hold as security for repayment of the Convertible Note. 500,000 of the shares are to be deposited with escrow agent at time of the signing of this agreement and 500,000 additionally no later than January 15th, 2017.
