I've been both a TD Apex client going back to 2002 and an Etrade client. From my experience, TD is an ultra risk-adverse and conservative brokerage firm. They alway tell you it's to protect the client.

Ameritrade's viewpoint
Theoretically, if you sell shares which you do not own, then you are "short" the stock and must cover if there's a short squeeze. And could potentially owe a margin call if one results. I know everyone just wants to sell "their" divy shares but that's not the way Ameritrade sees it. JMO
