I don't know what the meant by essentially restricted shares. I never heard that term before. Stock certificates (electronic or paper) either have a restrictive legend attached to them or they don't (at least as far as I know).
I guess only the principals or their TA agent would know for sure. And as far as I know, that info has not been publicly disclosed.
