That would be HUGE HUGE if true, I noticed the form d, but didn’t check. They had been selling under an S1, allowing them to sell immediately starting a couple years ago; the share price dropped immediately under $1 with the next offering after that became effective, because it was a no-brainer to dump shares for a profit, keeping the warrants, cycle, repeat....6 months restricted, then we are golden here.

This unfortunately isn't true. As soon as the shares are registered (2-6 weeks) you can sell these shares Pursuant to Registration Statement on Form S-1.
