This doesnt seem like concessions as much as unloading unnecessary assets which should increase Amedicas value as it'll have greater amount of liquid assets.
Trademarks and outdated inventory can be hard to liquidate and are a burden to larger corporations. Also in the reverse triangle merger Amedica would still exist and provide for a very sexy balance sheet for any parent company; good licensing revenue with little expense or cogs. This could come in handy in the future with banking transactions.
