They probably expected one of these events to happen sooner, apart from the TRW loan. But... you are not going to give Garrett $6M in cash, to the one person who is perfectly willing to convert it to stock for say $1. The one person who will not dump those shares. The one person who has earned it. Unless you practically have the cash in hand, and, you are fighting hard to keep the O/S below 50M. It just doesn't make sense.

Perhaps Garrett made a deal. If I don't get any shares, you don't get any shares. But they still need the cash to pay him back.
