You forgot to highlight the most important part:

This restriction shall be of no further force or effect upon the approval of the shareholders in compliance with NASDAQ’s shareholder voting requirements.

And guess what, insiders own all those prefs A, potential of 28,858,800 addititional common shares after conversion of the prefs A, and this would add to the current 6,880,000 common. Can you spell HUGE DILUTION?

So a vote vote on the sublect would be like a hot knife in butter
