They can't issue shares as company in Dark/Defunc state and neither they can do any share transactions until they become current. So who do you think got shares that got converted. If so PPS would have significant negative impact and there are no T trades either that would indicate dilution.

An Israeli based company can have office address in Nevada to operate business in US and it happens in many cases for overseas companies.
