I haven't read all the company's disclosure reports, but Lauri was definitely part of the company in 2012.

But I don't understand why OTCMarkets would consider it a shell risk. It was never an SEC registrant, so it was never a delinquent filer. And it was never reinstated in Nevada, so OTCM would have no reason to think it had been abandoned. In point of fact, it's evidently been controlled by Lindemann since it was formed in late 2006.

The question of whether has no significant assets or revenues would be another matter, but usually OTCM doesn't make those kinds of calls. The company itself says it's not a shell and never has been.

Reg A is pretty much designed for development stage companies.
