The lender is JMJ Financial. They are one of the biggest, and most cutthroat, of the toxic lenders. They are not a "friend" to any client.

These floorless convertibles are known as "toxic death spirals" because they KILL every single company that issues them. Every....single...one. The lenders know that, and do everything they can to maximize their returns before the company goes out of business for good.
