No, they don't.

The corporation itself authorizes the maximum number of shares which may be issued.

The Articles of Incorporation are the OFFICIAL LOCATION where the various information about the corporation is kept, including the size of the A/S.

The Secretary of State is simply the publicly accessable location where the Articles of Incorporation are filed.

The Articles of Incorporation are not a plan like a building permit.

The Articles of Incorporation are the public declaration made by the corporate officers regarding the CURRENT state of the corporation.

It is the responsibility of the corporate officers to keep the Articles of Incorporation current so that the the correct, accurate information is always available to the public.

If the corporate officers do not keep the Articles of Incorporation current, then they are misleading the public... especially investors.

That is what is called fraud.
