Correct the judge decides. The contract will have to be deemed invalid to seek any unjust enrichment defense under NY law, however, as unjust enrichment can't be claimed when a valid contract exists. Further, Viva will only be able to defend and have no cause for actions due to being an unauthorized NY entity.
