CANCELLATION OF SHARES OF COMMON STOCK:


On April 19, 2018; holders of an amount of 12,794,182,704 shares of the Company’s Common Stock agreed to cancel their holdings in exchange for 1,279,418 shares of Series X Convertible
Preferred Stock at $1.00 per share.

The number of outstanding shares of Common Stock has now been decreased to that of 13,946,920,766. The Company’s OTC Market profile will be updated accordingly to reflect this.
The Company’s Transfer Agent will effect these shares of Common Stock cancellations and the Issuances of the series of Series X Convertible Stock in the week commencing April 23, 2018;and upon receipt of the stamped copy from the Secretary of State
EFFECT UPON FINANCIAL STATEMENTS:

The Financial Statements for the following periods are currently being prepared for filing on the
OTC Markets OTCIQ in order now restore the Company to that of a “Current Filer”:
