To keep it simple the lower the offering price the less money the company will have and the more leverage the investors have to force a sale/merger. They want to acumilate shares cheap and keep their foot on company's head while their mouth is just above water gasping for air. They don't want to kill it just keep it really desperate. Roth does not mean anything to this story. IMO.
