Pulled the Form D template from the SEC site: Looks like it can be done prior, during, or after the offering based on the form (Items 7 and 13 for example).

The Form D is for unregistered securities.

Remember that Crown wanted the securities registered by filing a S-1.

The unnamed offshore company involved in signing a term sheet - only exists in the mind of Hanks and the wishful thinking of underwater shareholders.

Sorry but there isn't a signed term sheet.

I remember the giddiness about the $3 Million equity purchase agreement - that didn't work out very well.
