I would love to read that testimony. Are these companies going to say, "We didn't realize that taking money we knew we could never pay back and allowing the lenders to convert their loans into shares at a discount to whatever the market price was looking backward would screw over our shareholders"?
First opposing counsel question will be, "Do you think anyone who makes this deal is competent to be CEO (let alone a lawyer) of a public company?"
