Livingston Asset Mauagenrent" LLC to complete the Section 3 (a) ( l0) debt reorganization, and issued
7,500,000 common shares against accrued CEO executive compensation. Accordingly, the issued and
outstanding common shares and "Series A" preferred shares at the date of this filing are: 412861047 1369
common and 30,000,000 preferred, respectively. Of the total issued common shares, 20502,461,,960
(58.4%) common share are held in the public 'ofloat
