The obvious problem is that it represents insane dilution. Generally speaking, shareholders are not crazy about insane dilution.
If you read the paper I linked, you'll find there are some who don't believe Section 3(a)(10) should be interpreted as allowing for the issuance of immediately free trading stock. But that's a discussion for another time.
