if a 5% owner fails to file form 4, why is this bad for a company? I am in another stock which did the same, company is angry but I have extremely cheap shares.
It's the science I am invested in. Anyone claiming SEC has anything on this is BS. I have been in many other stocks prone to SEC investigation and feel like they have nothing on this one let alone going after it. Buy when others are fearful.
The LLCs you mention were never Directors or Officers of OWCP and neither was Friedland as an individual. The other reporting requirement is 10% and certainly 6M shares does not equal 10%. Friedland only served on the Advisory Board. His business was a service provider.
Therefore, no Form 4 is required with OWCP share transactions.
Link to 2015 10-K is below. Search on Global to see the transaction numbers.
but still with him being the owner of that LLC and him being the owner of Intiva Group which was a 5% shareholder in OWCP would have required form 4 to be filed to sell any shares.... this STINKS EVERYONE
