Every ico I have seen jumps every hoop available to avoid that.
What type of security would that be?
Most likely they would be restricted, and very difficult to sell.
You'd have to hold them for a year and then have a transfer agent remove the status only after the company approves the status removed for example.
And how does that relate to giving them away as a dividend? Is it even possible? How does that affect the investors taxes? Can the coin even be used?
I know next to nothing about this area of investing, but what little I know, turns me off about it.
One example was KodakCoin, they had to issue it as a private offering to an exclusive list of approved investors, just to avoid what you are interpreting as good news.
